3. DESCRIPTION OF SERVICE


The “Service(s)” means (a) Makersflow’s marketplace connecting creators and manufacturers across the globe to source and manage product development through to production using custom workflow definition, real-time communication, messaging, archiving, and search services and related systems and technologies, as well as the website https://Makersflow.com (the “Site”), and (b) all software (Including the Software, as defined below), applications, data reports, text, images and other content made available by or on behalf of Makersflow through any of the foregoing. The “Service” does not include Your Data (as defined below) or any software application or service that is provided by you or a third party, which you use in connection with the Service, whether or not Makersflow designates then as “official integrations” (each a “ Non-Makersflow Product”). This Website is meant for use only by the users who are eligible to enter into a valid contract under the applicable law. Minors are, therefore, not allowed to become members of this Website. 6. SERVICE FEES


A valid credit card is required for all kinds of payments on the Website. If your credit card is declined another attempt will be made in 6 days. If the credit card is declined in 6 days your account will be frozen until all outstanding fees are paid by selecting pay now on your subscription account page.


Makersflow is free for product makers wanting a profile presence, to connect via the marketplace. More features are available when you upgrade to our inclusive paid plans. Paid monthly plan upgrades will be billed on the day of upgrade and monthly (30 days) from and including this date. Paid annual plan upgrades will be billed on the day of upgrade and annually after this date unless canceled prior to subscription anniversary date. The service is billed in advance on a monthly basis or annual basis and is non-refundable. There will be no refunds or credits for partial months or full months on annual plans of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made. All fees are exclusive of all taxes, levies, or duties imposed by the appropriate taxation authorities, and you shall be responsible for the payment of all such taxes, levies, or duties. Makersflow is a service provided by Grownwebdesign Pty Ltd which is a registered company in Australia. GST will be added to Australian customers monthly payments as per standard practice for Australian businesses and their customers. Upgrades or downgrades in plan level, the credit card will be automatically charged the new rate on the day of upgrade and monthly or annually. Your profile presence including posting company news and connecting to other potential collaborators is always free. Paid pricing is available across Essentials, Professional and Enterprise subscriptions. Each subscription type offers different functionality with per-user pricing reflecting business value. Monthly or Annual per-user pricing is available. Detailed annual or monthly subscription pricing and associated functions are listed on the Pricing page. Downgrading your service may cause loss of Content, features, or capacity of your account. Grownwebdesign Pty Ltd , Australia, does not accept any liability for such loss.


7. CANCELLATION AND TERMINATION


i     You are solely responsible for properly canceling your account. An email request to cancel your account shall not be considered as cancellation of account. You can cancel your account at any time by clicking on the “Account/Close or pause your account” link on the top menu bar. The Billing screen provides simple questions regarding your request for cancellation of account.

ii  If you cancel the Service before the end of your current paid up month, your cancellation shall be effective immediately and you will not be charged again.

iii Reopening Reopening an account is available up to 12 months after cancellation before all account data is permanently deleted. All outstanding subscription charges apply from the date of your subscription cancellation to date you reopen your account. 

iiii Grownwebdesign Pty Ltd , in its sole discretion, reserves the right to suspend or terminate your account and refuse any and all current or future use of the Website service, or any other Grownwebdesign Pty Ltd , service, for any reason and at any time. Such termination of the service will result in deactivation or deletion of your account or your access to your account, and/or forfeiture and relinquishment of all content in your account. Grownwebdesign Pty Ltd , reserves the right to refuse service to anyone for any reason and at any time.


We reserve the right to change the fees and/or fee structure for any of our services at any time.


8. FAIR USAGE POLICY


Makersflow’s service is subject to our Fair Usage Policy (“FUP”). You may not use Makersflow to stream video, send unsolicited messages, share copyrighted content or any illegal materials.

At Makersflow, we want all of our customers to get the best value plans, known as ‘subscriptions’, at the lowest possible price. This FUP is designed to prevent fraud and abuse of our subscriptions by a small number of users.

Subject to this FUP, Makersflow’s paid subscriptions allow unlimited staff, unlimited buckets unlimited products, unlimited relationships and unlimited collaborators. Makersflow’s subscriptions are allocated on a storage and function basis only in accordance with our Terms of Service and this FUP (“Legitimate Use”). The following is a non-exhaustive list of practices that would not be considered Legitimate Use:

•    Sharing subscriptions between other companies to use in order to develop and produce products;

•    Sharing staff accounts between staff inside a company.

•    Loading extremely large image files (above 300MB per file), which would degrade system resources

Other practices may be relevant in determining Legitimate Use and Makersflow reserves the right to take any unlawful, prohibited, abnormal or unusual activity into account in making its determination. Makersflow may, at its sole discretion, terminate its relationship with you, or may suspend your subscription immediately if it determines that you are using your subscription contrary to this FUP or Makersflow Terms of Service. Where reasonable, Makersflow will provide you with a notice of improper usage before suspension or termination of your subscription, and if appropriate, Makersflow may offer you an alternative subscription.


9. ACCEPTABLE USE POLICY


i     Only natural persons are allowed to create an account on this Website.

ii    Any action or omission on your part resulting in an act of dishonesty and/or unprofessionalism by posting inappropriate, inaccurate, or objectionable content on the Website is strictly prohibited.

Forgot your password select Forgot Password to request a password reset email to be sent. Or if you don't have an account select Join Now to start the process.

After selecting CONTINUE, you'll receive an email with a one-time verification code. Add this code to the Two-Factor Verification page next. Two-Factor Verification is a standard method to secure your account access with something you know (password) and something provided (one-time code). If you don't receive an email within an hour, check your junk mail or white list email@notifications.makersflow.com which adds our emails to your approved sender's list.

Add the emailed one-time verification code to the Two-Factor Verification page and select CONTINUE. Didn't receive the code select Resend and you'll get another email with new code.

Makersflow takes your security seriously, minimum password length ten or more characters. Include minimum one of each type, one lowercase and one uppercase alphabetic characters, one number, and one symbol (%$#...etc). Use an online password generator like Lastpass - Password Generator to easily create your new password. Enter your new password twice ensuring no typos and select continue to finish. (To see what password you typed select the eye icon on the right of the first password box) 

You've successfully reset your password. Sign In with this new password, and update your Makersflow email addresses saved password on your browser. Most browsers allow this convenience by default.

Start by selecting checkbox Manufacturer and your desired currency. Let's add the products cost and any freight or exporting charges payable by the manufacturer to generate our Cost Summary (CS). Just leave freight and exporting costs empty if not applicable. Let's now apply our desired Markup % to the Cost Summary (CS), calculating our products Total Manufacturing Cost (MCOGS) and associated Gross Profit and Gross Margin% for this product.
